RT8 Music Terms & Conditions

Welcome to RT8 Music, a division of RT8 Digital Group. These Terms and Conditions ("Terms") govern your engagement with our music distribution, record label management, artist development, and related services. By utilizing RT8 Music services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

1. Acceptance of Terms

By engaging with RT8 Music, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any specific contractual agreements entered into with RT8 Music. These Terms constitute a legally binding agreement between you and RT8 Digital Group (trading as RT8 Music).

2. Services Provided by RT8 Music

RT8 Music offers a comprehensive suite of services for artists, including but not limited to:

• Music Distribution: Digital distribution of your musical works to various online streaming platforms and digital stores (e.g., Spotify, Apple Music, YouTube Music, Deezer).
• Record Label Management: Full-service label support, including A&R, marketing, promotion, and administrative services for signed artists.
• Artist Development: Guidance and resources for career growth, branding, and audience engagement.
• Licensing & Sync: Opportunities for your music to be placed in film, television, advertising, and other media.
• Publishing Administration: Collection and administration of publishing royalties.
• Merchandise Management: Assistance with the production and sale of artist merchandise.

Specific services and their scope will be detailed in individual artist agreements or service contracts.

3. Artist Agreements and Contracts

Engagement with RT8 Music for distribution, label management, or artist development services will require a separate, legally binding artist agreement or contract. These agreements will detail:

• The specific services to be provided.
• The term of the agreement.
• Exclusive or non-exclusive rights granted to RT8 Music.
• Financial terms, including percentage splits, advances, and payment schedules.
• Intellectual property rights and ownership.
• Termination clauses and dispute resolution.

These Terms serve as a general framework, and the specific artist agreement will take precedence in case of any conflict.

4. Financial Terms and Percentage Splits

For services involving revenue generation (e.g., music distribution, licensing), financial terms will be clearly outlined in your artist agreement. This will typically include:

• Revenue Splits: The agreed-upon percentage split of net revenue generated from your musical works between you and RT8 Music.
• Payment Schedule: Details on how and when royalties and other earnings will be calculated and paid out to you.
• Deductions: Any agreed-upon deductions for marketing costs, production expenses, or administrative fees will be specified.
• Reporting: Regular statements detailing earnings and deductions will be provided as per the artist agreement.

5. Intellectual Property and Rights

By submitting your musical works to RT8 Music, you represent and warrant that you own or control all necessary rights to the content, and that your content does not infringe upon the rights of any third party. The specific grant of rights to RT8 Music (e.g., master recording rights, publishing rights) will be detailed in your artist agreement.

You retain ownership of your intellectual property unless explicitly transferred or licensed under a specific agreement. RT8 Music will act as your authorized representative for the purposes outlined in your contract.

6. Content Submission and Standards

All musical works and associated content submitted to RT8 Music must:

• Be original or you must have all necessary rights and licenses.
• Comply with all applicable laws and regulations.
• Not contain any defamatory, obscene, hateful, or otherwise unlawful material.
• Adhere to technical specifications for audio and artwork provided by RT8 Music.

RT8 Music reserves the right to reject any content that does not meet these standards or is deemed inappropriate.

7. Termination of Services

The termination of services will be governed by the terms outlined in your individual artist agreement. Generally, either party may terminate the agreement with written notice, subject to any specified notice periods and outstanding obligations.

Upon termination, RT8 Music will cease distribution and management of your works, subject to any necessary wind-down periods for existing licenses or agreements with third-party platforms.

8. Limitation of Liability

To the maximum extent permitted by law, RT8 Digital Group (including RT8 Music) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use RT8 Music services; (b) any conduct or content of any third party on RT8 Music; (c) any content obtained from RT8 Music; and (d) unauthorized access, use or alteration of your transmissions or content.

9. Indemnification

You agree to indemnify and hold harmless RT8 Digital Group (including RT8 Music) and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your use of RT8 Music services or your violation of these Terms or any artist agreement.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in South Africa to resolve any legal matter arising from these Terms.

11. Changes to Terms

RT8 Digital Group reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use RT8 Music services after those revisions become effective, you agree to be bound by the revised terms.
